As previously mentioned, the Software Agreement Template set for ‘Existing Software with Significant Enhancements and Additional Programming’ represents the existing Software as well as the Software to be jointly designed by the vendor and customer and then programmed by the vendor. This relationship is often referred to as being a Software “Development” Partner. This particular Template Set is comprised of the following three agreements:

Embodies those provisions that best achieve the desired business relationship between Licensee and Vendor. The Agreement is supplemented with the Software Services and/or the Operations Support Agreement.

Crafted in conjunction with the License Agreement and is often referred to by vendors as the Technical Support Agreement. It is the second of three Agreements that evidences the license and use of Software that includes significant enhancements or programming of additional applications (modules).

The purpose of this Agreement is to define the terms and conditions whereby the vendor will warrant and provide on-going Software Support services. Licensing Software is important, but having an assurance that the Software licensed will be supported during the Term of the License Agreement is more important.

Crafted to complement the License Agreement. In its complete form, this Agreement embodies all the provisions necessary to define the desired on-site support services that Licensee will receive from the vendor.
